Terms and Conditions

 

1 APPLICATION:

These conditions apply to all domestic and foreign sales of MMI products.
Any other terms and conditions of the buyer, whether these are worded or additionally deviating, shall only be valid if they have been expressly accepted by the seller in writing. The offer remains subject to change for the seller, even in the case of an order, until the written order confirmation.


2. QUOTATIONS:

Our offers are limited in time, either according to the legal regulations or according to the special information in the offers themselves, but are valid for a maximum of 3 months. Our offers are confidential in nature and may not be made available to third parties without prior written authorization. Technical documents such as illustrations, drawings, weight, performance and dimensional specifications of the Seller are only approximate unless they are expressly designated as binding.

We reserve the property rights and copyrights to all drawings, drafts, diagrams and cost estimates. These documents shall be returned to us at our request.


3. REGULATIONS IN THE COUNTRY OF DESTINATION AND PROTECTION DEVICES:

The Buyer shall draw the Seller's attention in writing, at the latest when placing the order, to the regulations and standards applicable in his country, which relate to performance, operation and the prevention of illness and accidents.



4. PRICES AND TERMS OF PAYMENT:

Unless otherwise agreed, prices are in Euro, unpacked net ex works, excluding insurance, packaging, transport and VAT and excluding commissioning and training.
Unless otherwise agreed in writing, payment for standard products shall be made by Buyer ex works MMI by bank transfer (SWIFT) no later than 30 days from day of invoice. For development orders or non-standard machines a down payment of 30% of the order value is due.

The payment deadlines must also be met if transport, delivery, assembly, commissioning or acceptance of the delivery is delayed or made impossible for reasons for which the Seller is not responsible. It is not permissible to reduce or withhold payments due to complaints, claims or counterclaims of the Buyer not recognized by the Seller. Payments must also be made if insignificant parts are missing, but this does not make the use of the delivery impossible, or if reworking of the delivery proves necessary.

The Seller reserves the right of ownership of the delivery item until all liabilities to him have been paid and until he has been completely released from all contingent liabilities.



4. DELIVERY TIMES:

In the event of late delivery, the Buyer shall not be entitled to compensation for damages or termination of the contract. If the shipment is due to circumstances for which the buyer is responsible. The delivery period shall be extended accordingly if the Seller does not receive the information required for the execution of the order in time or if the Buyer subsequently changes the information and thus causes a delay in delivery. The Seller reserves the right to increase prices appropriately if the Buyer makes changes to specifications or if the delivery date is delayed by the Buyer.



5. WARRANTY and LIABILITY:

After the system has been put into operation, the Buyer must inspect the delivery within one month at his own expense and notify the seller immediately in writing of any defects. The warranty extends from the date of delivery or completion of commissioning to all defects occurring within the agreed warranty period, if it can be proven that their cause is due to faulty manufacture or poor material. The warranty period is usually 12 months in the case of single-shift operation, but is determined in each case according to the operating conditions; in the case of extreme or improper use, the warranty period can be shortened or cancelled. The laser system is subject to special warranty conditions, some of which depend on the operating time, which are specified in the offers. Our liability is limited to the replacement of the defective item or to reimbursement of the invoice value of the item not replaced.
Any further warranty, claim for damages as well as liability for costs of assembly or disassembly, as well as any further damages of any kind, which are directly or indirectly attributable to the products, parts or services supplied by us, are rejected.

Excluded from the guarantee are damages due to natural wear and tear, insufficient maintenance, disregard of operating instructions, excessive strain, unsuitable equipment, chemical or electrolytic influences and other reasons for which the supplier is not responsible.

We cannot accept any liability for modifications or repairs that have not been carried out by our own or by specialists designated by us. Technical changes to the systems, in particular to the safety-relevant parts, may only be carried out with the written consent of the Seller.



6. JURISDICTION AND PLACE OF PERFORMANCE:

The place of jurisdiction and place of performance for the buyer and the supplier is the registered office of the supplier. The legal relationship is subject to German law.



7. MMI EVENTS:

Payment and Cancellations

After online registration for a MMI event, you will receive an email notification including a PDF file that includes information on the payment procedure.

All payments have to be received within 14 days after the date of registration.

We will send an email confirming your participation once we have received your payment.

If payment is overdue, your registration will not be processed and will be considered invalid. A payment receipt will be included in our email confirmation of participation.

Cancellation of registration must be submitted in writing or via email and is valid only with acknowledgement of receipt by Molecular Machines & Industries GmbH.

General

Schedule and content of MMI events are subject to change without notice.

Molecular Machines & Industries GmbH reserves the right to reject individual registrations for an event without specifying reasons.

Molecular Machines & Industries GmbH records photographs and video material of participants at the events. By registering for a Molecular Machines & Industries GmbH event, you agree that we may include images of yourself (either as a full image or in parts) for promotional purposes in various publications (press releases, promotional activities, event website, etc.). This material may also appear on our internet web page or on related social media pages. If you do not want us to use pictures in which you appear, please inform us in written form until the end of the event. We may also share personal information of event attendees (e.g. in the book of abstracts or in a contact list) with the other persons attending the same event to enable attendees to contact each other prior to, during or after the event for networking purposes.
